Terms & Conditions

General

These Terms & Conditions (“Terms”) govern the provision of outsourced Chief Financial Officer (“CFO”) and financial advisory services (the “Services”) by:

The Consultant provides the Services as an independent professional to business clients on a non-exclusive basis.

Scope of Services

The Consultant provides strategic financial advisory services, which may include, inter alia:
  • executive-level CFO advisory and decision support
  • financial modelling and analysis
  • management reporting, including IFRS-based reporting frameworks
  • cash flow and liquidity management
  • budgeting, forecasting, and scenario analysis
  • development of financial architecture, KPIs, and performance frameworks
  • SAP finance advisory from a business and governance perspective
  • support in finance transformation and change management
The Services are provided on a limited-scope, advisory basis. The Consultant does not assume any executive, fiduciary, or statutory role within the Client’s organisation.
The exact scope, priorities, and deliverables shall be agreed with the Client and may evolve during the course of the engagement.
Any services not expressly agreed in writing are deemed excluded.
For the avoidance of doubt, the Services do not include accounting or bookkeeping, tax advisory, legal services, or SAP system configuration, development, or technical implementation.

Nature of Engagement

The engagement is based on an hourly advisory model unless otherwise agreed in writing.
The Consultant provides recommendations, analyses, and strategic input, but does not implement decisions or assume operational control unless explicitly agreed.
The Consultant retains discretion as to the manner and method of performing the Services.

Fees and Payment

Fees are charged based on actual time spent at the agreed hourly rates or as otherwise agreed.
  • Time may be recorded in reasonable increments
  • Invoices are issued on a monthly basis
  • Payment term: 15 days from the invoice date
The Consultant reserves the right to:
  • request advance payment or a retainer
  • suspend or withhold Services in case of delayed or non-payment
  • adjust rates with reasonable prior notice for ongoing engagements
All fees are exclusive of VAT or other applicable taxes, unless stated otherwise.

Client Obligations

The Client shall:
  • provide complete, accurate, and timely information
  • ensure availability of relevant personnel and data
  • promptly review deliverables and provide feedback
  • make independent decisions based on its own judgment
The Consultant shall be entitled to rely on the accuracy and completeness of all information provided.

Professional Standard

The Consultant undertakes to perform the Services with reasonable skill, care, and diligence in accordance with generally accepted professional standards.
No representation or warranty is made as to the achievement of any particular financial or commercial outcome. All projections, forecasts, and analyses are inherently subject to uncertainty and may be affected by factors beyond the Consultant’s control. The Consultant shall not be responsible for any decisions made or actions taken by the Client based on the Services. The Client remains solely responsible for all business, financial, and strategic decisions and any outcomes arising therefrom.
The Services do not constitute investment, legal, or tax advice.

Limitation of Liability

To the maximum extent permitted by applicable law:
  • the Consultant shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profit, revenue, business opportunity, or anticipated savings
  • the Consultant shall not be liable for any decisions made or actions taken by the Client or third parties based on the Services
The total aggregate liability of the Consultant arising out of or in connection with the Services shall be limited to the fees paid by the Client for the Services giving rise to the claim.

Third Parties and Reliance

The Services are provided solely for the benefit of the Client.
No third party shall be entitled to rely on any deliverables, advice, or outputs without the prior written consent of the Consultant.
The Consultant shall not be responsible for the acts or omissions of third-party advisors, including accountants, tax advisors, legal counsel, or system providers.

Confidentiality

Each party agrees to keep confidential all non-public, proprietary, or sensitive information disclosed in connection with the engagement. This obligation shall survive termination of the engagement.

Intellectual Property

All intellectual property rights in any methodologies, tools, models, templates, frameworks, and know-how used or developed by the Consultant remain the exclusive property of the Consultant.
Upon full payment, the Client is granted a non-exclusive, non-transferable right to use deliverables for internal business purposes.

Independent Contractor

The Consultant acts as an independent contractor and nothing in these Terms shall be construed as creating an employment, partnership, or joint venture relationship.
The Consultant does not assume any corporate office, directorship, or statutory responsibility within the Client’s organisation.

Term and Termination

Either party may terminate the engagement at any time with written notice.
The Consultant shall be entitled to payment for all Services performed up to the effective date of termination.
Any provisions which by their nature should survive termination shall remain in effect.

Force Majeure

The Consultant shall not be liable for any failure or delay in performance resulting from circumstances beyond reasonable control, including but not limited to technical failures, illness, or external disruptions.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

Entire Agreement

These Terms constitute the entire agreement between the parties in relation to the subject matter and supersede all prior discussions or agreements.

Acceptance

By engaging the Services, the Client acknowledges and agrees to these Terms & Conditions.
